Terms of Service
These terms govern your use of SyncedTAI, a data synchronization service operated by Northstar Prosperity Group LLC ("we", "us"). This document is a draft prepared by the service operator for review and has not been reviewed or approved by legal counsel.

1. Who you are contracting with
SyncedTAI is provided by Northstar Prosperity Group LLC. When you create an account or subscribe to a plan, you enter into an agreement with Northstar Prosperity Group LLC on these terms.
2. Acceptance
By creating an account, accessing the service, or continuing to use it, you agree to these terms. If you are using SyncedTAI on behalf of an organization, you confirm you have authority to bind that organization. If you are using it as an individual, you confirm you are of legal age to enter a contract.
3. The service
SyncedTAI receives events at a signed webhook address, converts fields according to mappings you configure, and delivers the result to destinations you nominate. It retries failed deliveries, records delivery history, raises alerts on permanent failures, and lets you replay deliveries. Work is organised into workspaces, and data is isolated per workspace at the database level.
4. Your account
- You are responsible for keeping your sign-in credentials and ingest keys confidential, and for all activity that occurs under your account or keys.
- Ingest key secrets are shown once at creation. If a key is exposed, rotate it from the Connections screen; the previous key is retired immediately.
- You must provide accurate account information and keep it up to date.
- You are responsible for the systems you connect to SyncedTAI and for having the right to send us the data you send.
5. Acceptable use
You must not:
- use the service unlawfully, or to process data you have no right to process;
- use it for fraud, spam, or unsolicited messaging;
- infringe the intellectual property or privacy rights of others;
- interfere with the security or integrity of the service — including malware, probing, scanning, credential testing, scraping, or attempting to bypass rate limits, workspace isolation, or authentication;
- reverse engineer the service, resell or redistribute it, or circumvent technical limits such as plan allowances.
6. Intellectual property
We retain all ownership of SyncedTAI, including its software, documentation, and branding. We grant you a limited, non-exclusive, non-transferable right to use the service within the plan you have selected. You keep ownership of the data you send through the service, and you grant us a limited licence to host and process it solely in order to provide the service to you.
7. Plans, payment and subscription terms
SyncedTAI is offered on monthly subscription plans: Starter at $29 per month, Growth at $79 per month, Business at $199 per month, and Enterprise on terms agreed with us. Each paid plan includes a monthly event allowance and a maximum number of active connections, shown on the Billing screen inside the product.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Payment, billing, renewal, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms. Our own refund approach is set out in our Refund Policy. We never see or store your card details.
8. Plan limits
Your plan's included allowances are enforced in the product. When you reach the maximum number of active connections included in your plan, activating a further connection is declined with an explanation and an upgrade path. Reaching a limit never deletes, truncates, or hides data you have already sent us. Test events sent from the in-app test sender are tracked separately and are not counted as billable usage.
9. Changing plans and cancellation
- Upgrades and downgrades take effect once our payment provider confirms the change, at which point the new allowances apply.
- You may cancel at any time through the Manage billing portal. Your subscription remains in force until the end of the period you have paid for.
- When a subscription ends, active connections are paused, so intake and delivery stop. Your connections, mappings, keys, event history and delivery history are preserved; subscribing again lets you switch them back on.
- A failed payment does not immediately end your subscription. We follow the payment provider's retry cycle and show the real status in the product.
10. Service level and warranties
We work to keep SyncedTAI reliable, but we do not guarantee that the service will be uninterrupted, timely, or error-free, and we do not guarantee that a third-party destination system will accept a delivery. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
11. Suspension and termination
We may suspend or terminate access where there is a material breach of these terms, non-payment, a security or fraud risk, or repeated or serious policy violations. Where circumstances allow, we will tell you first and give you a chance to resolve the issue.
You may stop using the service at any time. On termination, your right to use the service ends. We will retain your data for the period described in our Privacy Notice so that you can request an export, after which it is deleted.
12. Liability
To the extent permitted by law, we are not liable for indirect, consequential or special damages, including loss of profits, loss of data, or loss of goodwill. Our aggregate liability is limited to the fees you paid us in the twelve months before the event giving rise to the claim. Nothing in these terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.
13. Indemnity
You will indemnify us against claims arising from the data you send through the service, your unlawful use of the service, or your breach of these terms.
14. Changes to these terms
We may update these terms as the service develops. Where a change materially affects your rights, we will give reasonable notice. Continuing to use the service after a change takes effect means you accept the updated terms.
15. General
- You may not assign this agreement without our consent; we may assign it as part of a merger, acquisition, or sale of assets.
- Neither party is responsible for failures caused by events beyond its reasonable control.
- These terms are governed by the laws of the jurisdiction in which Northstar Prosperity Group LLC is established, and disputes will be heard by the courts of that jurisdiction.
